Item 8.01 Other Events.

On April 1, 2005, Protein Design Labs, Inc. was informed that its Registration Statement on Form S-3 (No. 333-122760), filed in connection with shares of its common stock issued in connection with its previously-announced acquisition of ESP Pharma Holding Company, Inc., was declared effective as of April 1, 2005 by the U.S. Securities and Exchange Commission.  Nothing in this Current Report on Form 8-K shall constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of such securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
