Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
PDL BioPharma, Inc. (the “Company”) announced that it has accepted the resignation of Shlomo Yanai from the Company’s Board of Directors effective April 30, 2020. Mr. Yanai informed the Company that he is resigning because he has been elected as the Chair of the Board of Directors of Lumenis, Inc., a private company that has certain operations in the same field as the Company’s subsidiary LENSAR, Inc. The Company and Mr. Yanai will enter into a consulting agreement through June 30, 2020 pursuant to which Mr. Yanai will provide consulting services related to the Company’s monetization strategies unrelated to LENSAR, Inc.
